Terms of Service

1. Introduction

Copify (“Copify”, “we”, “us”, or “our”) provides AI-assisted, human-edited content services designed to help businesses create and manage content more efficiently. These Terms apply to all visitors, users, and others who access or use the Services (“you” or “Users”).

By accessing or using the Services, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction, and that you have the right, authority, and capacity to enter into these Terms on your own behalf or on behalf of the entity you represent.

We may update or modify these Terms from time to time. When we make changes, we will update the “Last updated” date above. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.

2. User Agreements and Account Responsibilities

Certain features of the Services may require you to provide information, enter into a separate statement of work, or otherwise agree to specific commercial terms (collectively, “Service Agreements”). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement will control with respect to the subject matter of that agreement.

2.1 Eligibility and registration

To use certain parts of the Services, you may be asked to provide contact details and relevant information about your business and content needs. You agree that all information you provide to us will be accurate, complete, and kept up to date. You must not impersonate any person or entity, or misrepresent your affiliation with any person or entity.

2.2 Use of delivered content

Subject to your timely payment of all applicable fees (if any) and compliance with these Terms and any applicable Service Agreement, Copify grants you a non-exclusive, worldwide license to use, reproduce, modify, and distribute the content we create for you (“Deliverables”) for your business purposes. You are responsible for reviewing Deliverables prior to publication and ensuring they comply with all applicable laws, regulations, and internal policies.

2.3 Third-party services and tools

The Services may rely on or integrate with third-party platforms, tools, or APIs (including AI providers). Your use of any third-party services is subject to those third parties’ terms and policies. Copify is not responsible for the acts, omissions, or services of any third party.

3. Acceptable Use

You agree to use the Services and Deliverables only for lawful purposes and in accordance with these Terms. You are responsible for all activities carried out in connection with your use of the Services and any instructions you provide to us in the course of an engagement.

3.1 Prohibited activities

You agree that you will not, and will not permit any third party to:

• Use the Services or Deliverables in any manner that violates any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights).
• Request or direct Copify to create content that is defamatory, hateful, harassing, discriminatory, deceptive, fraudulent, or otherwise objectionable.
• Use the Services to generate or distribute spam, mass unsolicited communications, or misleading marketing materials.
• Reverse engineer, decompile, or attempt to derive the source code of any software used to provide the Services, except to the extent permitted by law.
• Interfere with or disrupt the integrity or performance of the Services, including by introducing viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to any systems, networks, or data associated with the Services.

3.2 Compliance with guidelines

From time to time, Copify may publish or provide additional policies, guidelines, or best practices relating to the use of AI-assisted content and SEO/GEO optimization. You agree to review and, where applicable, follow such guidelines when using the Services and publishing Deliverables.

4. Disclaimers and Limitation of Liability

4.1 No guarantee of results

While Copify aims to help improve your content performance, traffic, and conversions, you understand and agree that specific results are not guaranteed. Many factors outside of Copify’s control—including your implementation, website infrastructure, competition, budget, and broader market conditions—affect performance outcomes.

4.2 Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COPIFY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Copify does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any Deliverables will meet your expectations or achieve any particular result.

4.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COPIFY, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES OR DELIVERABLES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF COPIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPIFY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY DELIVERABLES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO COPIFY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so the above limitations may not apply to you in full. In such cases, Copify’s liability will be limited to the maximum extent permitted by applicable law.

5. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Services at any time and for any reason, including if we reasonably believe that you have violated these Terms or any applicable law, or if your use of the Services may create risk or legal exposure for Copify.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease, except that your license to use previously delivered content (subject to your payment obligations) will continue in accordance with these Terms and any applicable Service Agreement. Sections that by their nature should survive termination (including, without limitation, ownership, disclaimers, and limitations of liability) will survive any expiration or termination of these Terms.

6. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Copify is established, without regard to its conflict of law principles.

Before initiating any formal legal action, you agree to first contact us and provide a brief written description of the dispute and your contact information, and allow us thirty (30) days to attempt to resolve the dispute informally. If we are unable to resolve the dispute within that time, either party may pursue any rights and remedies available under applicable law.
